Second Business and Nonprofit Filing Deadline Approaching

Approximately 29,537 limited liability companies, limited liability partnerships and nonprofit corporations have not filed annual and biennial reports with the Nebraska Secretary of State’s Office. Secretary Evnen reminds businesses that if action isn’t taken immediately, the businesses will be administratively dissolved.

The final day to file in person at the Secretary of State’s Office is Monday, June 16, 2025.

Online filing will close at 8:00 a.m. Central Time on Tuesday, June 17, 2025.

Considering that the deadline is two weeks away, the Secretary of State’s Office encourages delinquent entities to file online at: sos.nebraska.gov/report

Domestic entities that fail to file face administrative dissolution. Foreign entities will have their authority to do business revoked.

At the beginning of this year, the Nebraska Secretary of State’s Business Services Division mailed 161,420 filing notices to business entities registered in the state. Additionally, the office sent reminders to entities that missed the initial April 1 deadline.

If entities do not file but wish to remain in good standing, they will be required to reinstate or refile. They will be subject to a reinstatement fee in addition to any payments that are past due.
